Terms of Service

The working agreement behind every engagement: clear milestones, full ownership on delivery, and honest standards.

01Contractual framework

These Terms form an agreement between Qavironel Technologies (“Studio”, “we”, “us”) and the client, founder or organisation (“Client”, “you”) engaging our engineering, design or consulting services.

By signing a proposal, issuing a purchase order, paying a retainer or commissioning a sprint, you agree to these Terms together with the specific Statement of Work (“SOW”).

02Scope of work

Every project is governed by a Statement of Work describing milestones, deliverables and timelines.

  • Scope boundaries. Any feature, integration or architectural change not in the agreed SOW is an extension.
  • Change orders. Extensions are agreed in writing, with any fee and timeline changes, before the work begins.

03Intellectual property

Once all agreed fees are paid, all bespoke code, database migrations, designs, component libraries and documentation created for your project belong to you.

We keep ownership of our pre-existing utilities, open-source libraries and internal tooling, and grant you a perpetual, irrevocable, worldwide, royalty-free licence to use and modify them as part of the delivered software.

04Payment terms

  • Retainer. A non-refundable commitment retainer (typically 40% to 50%) is due before sprint scheduling and repository setup.
  • Milestone invoices. Intermediate payments are due when agreed deliverables are demonstrated on staging.
  • Final handover. The final invoice is due before production deployment and repository transfer.
  • Methods. Bank transfer (SWIFT / ACH), Stripe invoicing or other agreed methods. Milestone invoices are payable within 14 days.

05Client cooperation

Progress depends on timely collaboration. The Client names a primary decision-maker, provides required assets and credentials, and gives feedback within three business days of each milestone.

0630-day warranty

For 30 days after production launch, we fix reproducible bugs or defects that deviate from the agreed SOW at no additional cost.

The warranty does not cover changes made by the Client, outages or breaking changes in third-party services, or hosting downtime outside our control.

07Confidentiality

Both parties treat business plans, financial data, unreleased roadmaps, proprietary algorithms and source code as confidential, and will not disclose them without written permission. This obligation lasts five years after the engagement ends.

08Ethical boundaries

We do not take on projects involving malicious exploits, spyware, scams or unlawful surveillance. Client software follows OWASP security baselines and secure coding practice.

09Limitation of liability

To the extent permitted by law, neither party is liable for indirect, incidental, punitive or consequential damages, including lost profits, data loss or business interruption.

Our total liability under any SOW is limited to the fees actually received for that engagement in the six months before the incident.

10Handover

  • Transfer of repositories, with full commit history, to the Client’s organisation.
  • Transfer of hosting projects and domain DNS configuration.
  • Environment variable documentation, database seed scripts and architecture notes.

11Governing law and disputes

Disputes are first subject to thirty days of good-faith mediation. If unresolved, they are settled through binding commercial arbitration.
